Terms of Service

These Terms of Service ("Terms") govern your access to and use of the SpendexAI platform, API, and website (collectively, the "Service") operated by SpendexAI ("we", "us", "our"). By using the Service, you agree to be bound by these Terms.

1. Account Registration

You must provide accurate and complete information when creating an account. You are responsible for maintaining the security of your account credentials and API keys. You must notify us immediately if you suspect unauthorized access.

2. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable laws
• Attempt to reverse-engineer, decompile, or disassemble the Service
• Interfere with or disrupt the Service or its infrastructure
• Resell or redistribute the Service without prior written consent
• Exceed rate limits or attempt to circumvent usage restrictions
• Use the Service to generate content that violates the upstream AI providers' terms of service

3. API Usage

SpendexAI acts as an API proxy that routes your requests to third-party AI providers. You acknowledge that:

• Your use of upstream AI models is also subject to those providers' terms of service
• We do not guarantee the accuracy or availability of any specific AI model
• Model availability and pricing may change without prior notice

4. Pricing & Billing

• Free plan: 1,000 requests/month at no charge
• Pro plan ($29/mo): Unlimited requests, all providers
• Business plan ($99/mo): Team features, SSO, dedicated support

Subscriptions are billed monthly. You may cancel at any time. Refunds are not provided for partial billing periods. We reserve the right to modify pricing with 30 days notice.

5. Virtual Cards & Agent Wallets

Virtual cards are issued through our banking partner (Lithic). Card usage is subject to the spending limits you configure. We are not liable for charges that exceed your intended budget due to misconfiguration.

6. Service Level

We target 99.9% uptime for the API proxy. We do not guarantee uninterrupted service. Planned maintenance windows will be communicated in advance when possible.

7. Data & Privacy

Your use of the Service is also governed by our Privacy Policy. We do not store or log prompt content. See our Privacy Policy for full details on data handling.

8. Intellectual Property

You retain all rights to your data and content. We retain all rights to the SpendexAI platform, brand, and technology. Nothing in these Terms transfers intellectual property rights.

9. Limitation of Liability

To the maximum extent permitted by law, SpendexAI shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of the Service.

10. Termination

We may suspend or terminate your account if you violate these Terms. You may delete your account at any time from your dashboard. Upon termination, your right to use the Service ceases immediately.

11. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated via email or notice on the website. Continued use of the Service after changes constitutes acceptance.

12. Governing Law

These Terms are governed by the laws of the European Union and the applicable member state where SpendexAI is incorporated.
